These Terms & Conditions (“Terms”) govern your access to and use of avenlyco.com (the “Site”) and any purchases from Avenly (“Avenly,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to these Terms and to our Privacy Policy, Shipping Policy, and Refund/Return policies referenced below. If you do not agree, do not use the Site.

1) About Us & Contact

Avenly provides consumer products sold online and fulfilled through vetted logistics partners.
Support email: support@avenlyco.com (Mon–Fri, 9:00–18:00, GMT-4).

2) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase from the Site. If you use the Site on behalf of a business, you represent that you have authority to bind that business.

3) Account & Security

You may browse without an account. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

4) Orders, Acceptance & Availability

Placing items in your cart or receiving an order confirmation acknowledges we received your order; it does not constitute acceptance. We may accept or decline orders at our discretion (for example, for suspected fraud, address issues, or stock constraints). If an item is unavailable after you order, we will cancel and issue a prompt refund.

5) Pricing, Taxes, Duties & Currency

All prices are shown at checkout. We currently cover applicable sales taxes and import VAT/duties as described in our Shipping Policy. If a carrier or customs agent unexpectedly charges you taxes/duties, email the receipt to support@avenlyco.com for reimbursement after verification.
We reserve the right to correct price errors; if a pricing error affects your order, we will contact you to confirm the corrected price or cancel and refund. Your card issuer may apply currency conversion or bank fees.

6) Payments

We accept major cards and other payment methods displayed at checkout. By submitting payment, you authorize us (and our payment processor) to charge the full amount, including shipping (if any) and fees disclosed at checkout. We do not store full card numbers on our servers.

7) Shipping & Delivery

Shipping is governed by our Shipping Policy (free standard shipping worldwide; tracking provided; taxes/duties covered). Processing is typically 1–3 business days; orders placed after 12:00 (noon) GMT-4 are processed the next business day. Multi-item orders may ship separately.
Risk of loss remains with Avenly until the carrier shows the shipment as delivered to your address. See Section 11 for delivery issues.

8) Cancellations & Order Edits

We can modify or cancel an order before fulfillment (usually within 12 hours, GMT-4). After shipment, please follow the return process.

9) Returns & Refunds

Returns and refunds are governed by our Return & Refund Policy and Refund Policy (30-day return window for eligible items; RMA required; 10% restocking fee on change-of-mind/sizing; shipping fees non-refundable once in transit; defective/incorrect items receive free replacement or full refund). Contact support@avenlyco.com to initiate an RMA.

10) Promotions, Coupons & Gift Cards

Promotions and coupons apply only to qualifying items, are non-transferable, cannot be redeemed for cash, and may not be combined unless expressly stated. We may modify or end promotions at any time. Gift cards are final sale, non-refundable, and subject to any terms provided at purchase.

11) Delivery Issues (Lost, Stolen, Marked Delivered)

If a package is marked delivered but not received, check with household members and neighbors, then contact the carrier and support@avenlyco.com within 7 days. For parcels showing no movement for 15 days (domestic) or 25 days (international), contact us. After the carrier investigation, we will reship or refund as appropriate; we may request a non-receipt affidavit.

12) International Customers

We cover duties where applicable and handle customs paperwork. Some countries require recipient ID; if requested by the carrier, please provide it to avoid delays. You are responsible for complying with your local laws regarding import and product use.

13) User Content & Reviews

If you submit reviews, photos, or other materials (“User Content”), you grant Avenly a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from that User Content for marketing, analytics, and operational purposes, in any media now known or later developed, without compensation. You represent that you own or have permission to submit the User Content and that it does not violate any law or third-party rights.

14) Intellectual Property

All content on the Site (including text, graphics, logos, product images, videos, and code) is owned by or licensed to Avenly and protected by intellectual property laws. You may use the Site for personal, non-commercial purposes only. Any unauthorized scraping, reproduction, distribution, or reverse engineering is prohibited.

15) Prohibited Uses

You agree not to: (a) use the Site for unlawful purposes; (b) attempt to gain unauthorized access to the Site or related systems; (c) interfere with the Site’s security features; (d) resell or export products in violation of applicable laws; (e) post or transmit malicious code; or (f) engage in deceptive, fraudulent, or abusive conduct.

16) Third-Party Services

We use third-party providers (e.g., payments, logistics, analytics). Those providers may have their own terms and privacy policies. Avenly is not responsible for third-party acts or omissions outside our control.

17) Health & Safety; Product Use

Always follow product labels, manuals, and safety warnings. Where applicable, consult a qualified professional before use. Avenly is not liable for misuse or use contrary to instructions.

18) Disclaimer of Warranties

EXCEPT WHERE PROHIBITED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Some jurisdictions do not allow limitations on implied warranties; these limitations may not apply to you.

19) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVENLY AND ITS OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR REVENUES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT. Some jurisdictions do not allow exclusion or limitation of certain damages; these limitations may not apply to you.

20) Indemnification

You agree to indemnify, defend, and hold harmless Avenly from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your misuse of the Site or products, or your violation of any law or third-party rights.

21) Compliance, Sanctions & Export

You may not use the Site or purchase products if you are located in, under the control of, or a national/resident of any country or entity subject to comprehensive sanctions, or if you appear on any restricted-party list applicable to us. You agree to comply with all export/import laws.

22) Governing Law & Venue; Consumer Rights

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes not subject to informal resolution (Section 23). If you are a consumer in a jurisdiction that mandates different legal protections (e.g., EU/UK 14-day withdrawal rights), those mandatory rights are not affected by these Terms.

23) Dispute Resolution (Informal First)

Before filing a claim, you agree to email support@avenlyco.com with “Dispute Notice” in the subject and a description of the issue. We will attempt to resolve the dispute within 30 days. If unresolved, either party may pursue remedies in the courts identified in Section 22. Nothing in this section limits small-claims actions where permitted.

24) Electronic Communications & Notices

By using the Site, you consent to receive communications from us electronically (email, on-site notices). Legal notices to Avenly should be sent to support@avenlyco.com.

25) Changes to the Site or Terms

We may update the Site and these Terms from time to time. The “Last updated” date reflects the current version. Continued use of the Site after changes signifies acceptance of the revised Terms.

26) Severability; No Waiver; Assignment

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign your rights under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or asset transfer.

27) Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Return & Refund Policy, and Refund Policy, constitute the entire agreement between you and Avenly regarding the Site and purchases.
